Welcome to Yesterday’s Keeps. These Terms of Service (“Terms”) govern your access to and use of the Yesterday’s Keeps website, online store, products, and related services (collectively, the “Services”).

In these Terms, “Yesterday’s Keeps,” “we,” “us,” and “our” refer to Yesterday’s Keeps. “You” and “your” refer to the person accessing our website, placing an order, or otherwise using our Services.

By accessing our website, placing an order, uploading photographs or other content, or otherwise using our Services, you agree to these Terms. If you do not agree with these Terms, please do not use our Services.

Our Privacy Policy describes how we collect, use, disclose, retain, and protect personal information and Customer Content in connection with the Services.

1. Our Products

Yesterday’s Keeps creates custom photo magnets and other personalized products using photographs, images, text, and other content submitted by customers.

Because our products are personalized and made specifically for you:

  • Colours, brightness, contrast, cropping, and overall appearance may vary somewhat between the image displayed on your device and the finished product.

  • The appearance of a photograph may vary depending on the original image quality, lighting, resolution, colour profile, and other characteristics of the image provided.

  • We cannot guarantee that the finished product will look exactly as it appears on yourphone, computer, or other display.

  • Some cropping, resizing, positioning, or minor adjustments may be necessary to fitan image to the selected product.

  • Product dimensions, materials, finishes, and other physical characteristics may vary within reasonable manufacturing tolerances.

  • We make reasonable efforts to display products, colours, and materials accurately on our website, but display settings and individual devices may affect how coloursand images appear.

2. Placing an Order

When placing an order, you are responsible for reviewing the information yousubmit before completing your purchase.

This includes confirming:

  • The photographs, images, and other files uploaded;

  • The spelling of names, dates, messages, and other text;

  • The quantity of products ordered;

  • The selected size, style, shape, and customization options;

  • Any proof or preview provided to you;

  • Your billing and shipping information; and

  • Any other information submitted as part of your order.

Orders are subject to our acceptance. Payment must be successfully processed before we begin processing an order.

We reserve the right to refuse or cancel an order where reasonably necessary, including because of an error in pricing or product information, suspected fraud, inability to obtain necessary materials, inability to produce the requested product, or concerns regarding Customer Content.

If we cancel an order before production, we will provide an appropriate refund of amounts paid for the cancelled order, subject to applicable law.

3. Customization and Customer Content

For purposes of these Terms, “Customer Content” means photographs, images, artwork, logos, text, names, dates, designs, and other materials that you submit or provide to us.

You retain ownership of your Customer Content.

By submitting Customer Content, you grant Yesterday’s Keeps a limited, non-exclusive, worldwide, royalty-free licence to access, reproduce, store, transmit, format, resize, crop, modify, and otherwise process that Customer Content solely as reasonably necessary to provide the Services you requested.

This may include:

  • Receiving and storing uploaded files;

  • Preparing files for production;

  • Printing or otherwise reproducing Customer Content;

  • Transmitting Customer Content to service providers or production partners where necessary to fulfil your order;

  • Packaging and shipping your order;

  • Providing customer service; and

  • Addressing quality, production, shipping, fraud, or other legitimate business issues relating to your order.

This licence does not transfer ownership of your photographs or other CustomerContent to Yesterday’s Keeps.

We handle Customer Content in accordance with our Privacy Policy.

4. Your Responsibility for Customer Content

You are responsible for ensuring that you have the legal rights and permissions necessary to submit and reproduce Customer Content.

By submitting Customer Content, you represent and warrant that:

  • You own the copyright in the Customer Content, or have obtained the necessary rights or licence to use and reproduce it;
  • You have any necessary permission from a photographer, studio, agency, or other copyright owner;
  • Your submission and our reproduction of the Customer Content for your order will not knowingly infringe another person’s copyright, trademark, moral rights, privacy rights, publicity rights, or other legal rights; and
  • You have any permissions reasonably necessary to provide personal information or photographs of other individuals to us for the purposes of your order.

For example, purchasing a copy or print of a professional photograph does not necessarily give you the copyright or the right to reproduce that photograph. If you are unsure whether you have permission to reproduce an image, you should obtain permission from the copyright owner before submitting it.

You must not knowingly submit content that you do not have permission to reproduce.

You remain responsible for Customer Content that you submit and for claims arising from your submission or use of that content.

5. Content We May Refuse

We may refuse, suspend, or cancel an order where we reasonably believe that Customer Content:

  • Infringes or may infringe another person’s intellectual-property or other legal rights;

  • Is unlawful, fraudulent, threatening, defamatory, hateful, or otherwise inappropriate;

  • Contains malicious code or harmful material;

  • Could expose Yesterday’s Keeps or others to legal liability; or

  • Violates these Terms or applicable law.

Where we cancel an order for these reasons before production, we will provide an appropriate refund where required by law and where reasonably appropriate in the circumstances.

We are not required to independently investigate or determine ownership of every photograph or other item of Customer Content submitted to us.

6. Proofs and Customer Approval

Where Yesterday’s Keeps provides a digital proof or requests customer approval before production, you are responsible for carefully reviewing the proof.

Please check all visible details, including:

  • Spelling;

  • Names and dates;

  • Photograph selection;

  • Cropping;

  • Positioning;

  • Orientation;

  • Text; and

  • Other customization details.

Once you approve a proof, we may proceed to production based on the approved design.

To the extent permitted by applicable law, we are not responsible for errors that were visible in an approved proof and were not identified before production.

If we do not provide or require approval of a proof, we will produce the product using the information and Customer Content submitted with your order.

7. Photograph Quality

The quality of the finished product depends substantially on the quality of the photograph supplied.

For best results, we recommend clear, high-resolution photographs that are properly exposed and contain the desired subject within the frame.

We are generally not responsible for image-quality limitations that result from photographs supplied by the customer, including images that are:

  • Low resolution;

  • Blurry or out of focus;

  • Heavily compressed;

  • Overexposed or underexposed;

  • Already cropped in an unsuitable way; or

  • Otherwise unsuitable for the selected product.

Where reasonably practical, we may contact you if an uploaded image appears unsuitable for production. However, we cannot guarantee that every image-quality issue will be identified before production.

8. Prices, Taxes, and Payment

Prices are displayed in Canadian dollars unless otherwise stated.

Applicable taxes, shipping charges, and other charges will be displayed during checkout where applicable.

Payment must be successfully received before an order is processed.

We reserve the right to correct typographical, pricing, product, or other errors on our website. If an error affects an order you have placed, we may contact you before fulfilling the order and, where appropriate, give you the option to confirm the corrected order or cancel it.

9. Order Changes and Cancellations

Because our products are custom-made, we may begin processing orders shortly after they are placed.

If you need to change or cancel an order, contact us as soon as possible using the contact information provided at the end of these Terms.

We will make reasonable efforts to accommodate requests received before production begins, but we cannot guarantee that a change or cancellation will be possible.

Once an order has entered production, we generally cannot cancel or modify it because the product has been made specifically for you.

10. Returns, Exchanges, and Defective Products

Since personalized products are made specifically for individual customers, they are generally final sale and are not eligible for return or exchange solely because you changed your mind, ordered the wrong option, supplied incorrect information, or no longer want the product, except where required by applicable law.

If a product arrives damaged, defective, materially different from what you ordered, or incorrectly produced by us, please contact us as soon as reasonably possible after discovering the issue.

We ask that you contact us within 7 days of delivery where reasonably possible so that we can investigate and assist promptly. This request does not limit any rights or remedies you may have under applicable law.

Please provide:

  • Your order number;
  • A description of the issue; and
  • Clear photographs of the product and packaging where applicable.

We may ask for additional information or for the product to be returned so that we can assess the issue.

If we determine that the product was damaged in transit, defective, or incorrectly produced by us, we may provide a replacement, refund, store credit, repair, or another appropriate remedy, subject to applicable law.

11. Shipping and Delivery

We ship orders to the address provided at checkout.

You are responsible for providing a complete and accurate shipping address.

We are not responsible for additional costs, delays, or delivery problems resulting from an incorrect or incomplete address supplied by you, except where required by applicable law.

Shipping and delivery dates or timeframes provided by us are estimates unless expressly stated otherwise.

Once an order has been transferred to a shipping carrier, delivery may be affected by circumstances outside our reasonable control, including:

  • Weather;

  • Postal or carrier disruptions;

  • Customs delays;

  • Incorrect addresses;

  • Labour disruptions;

  • Transportation delays; and

  • Other unforeseen circumstances.

If an order appears to be lost or significantly delayed, please contact us. We will make reasonable efforts to assist and, where appropriate, work with the applicable carrier.

12. International Orders

If we offer shipping outside Canada, the customer is responsible for customs duties, import taxes, brokerage fees, and other charges imposed by the destination country unless otherwise stated at checkout.

We are not responsible for delays caused by customs authorities or other government agencies.

13. Promotional Use of Customer Photos

From time to time, Yesterday’s Keeps may invite customers to allow us to feature their photographs, finished magnets, or other Customer Content on our social-media accounts, website, advertising, portfolio, or other promotional materials.

Promotional permission is optional and is not required to purchase from Yesterday’s Keeps.

Where we provide a separate promotional consent mechanism, you may choose whether to provide permission.

Promotional consent is separate from the licence necessary for us to process your Customer Content for your order.

If you provide promotional consent, you grant Yesterday’s Keeps a non-exclusive, royalty-free, worldwide licence to reproduce, display, publish, and share the selected Customer Content for social-media, advertising, promotional, portfolio, and marketing purposes.

We may crop, resize, format, or make reasonable technical edits to the content for those purposes.

Providing promotional consent does not transfer ownership of your Customer Content to Yesterday’s Keeps.

If you later withdraw promotional consent, contact us using the information provided below. We will make reasonable efforts to stop future promotional use and, where reasonably practicable, remove content from channels that we control.

Withdrawal does not affect promotional use that occurred before withdrawal, and we cannot guarantee removal of content that has already been shared, downloaded, reposted, archived, or otherwise distributed by third parties.

14. Copyright and Intellectual-Property Complaints

If you believe that Customer Content has been submitted without appropriate authorization or otherwise infringes your rights, please contact us using the contact information below.

Please provide enough information for us to understand the concern, including:

  • Identification of the Customer Content in question;

  • Information about your rights or relationship to the content; and

  • Your contact information.

We may request additional information or documentation and may refuse to reproduce or remove content where appropriate.

We are not required to act as a legal adjudicator of disputes between customers and third parties.

15. Our Intellectual Property

All content on the Yesterday’s Keeps website, including our business name, logos, branding, product photographs, graphics, text, designs, website layout, and other original materials, is owned by or licensed to Yesterday’s Keeps and is protected by applicable intellectual-property laws.

You may not copy, reproduce, distribute, modify, sell, or commercially exploit our website content, branding, product designs, or other intellectual property without our prior written permission, except as permitted by law.
